    2. The Marketplace Model & Disclosed Commercial Agency

Salp.shop is an online marketplace connecting European consumers directly with independent European manufacturers, design studios, and craft brands ("Vendors") across all 27 European Union member states. Salp Operating B.V. acts strictly as a Disclosed Commercial Agent (intermediary) within the meaning of EU law and Articles 7:428 et seq. of the Dutch Civil Code.

    • The Vendor is the Seller of Record: For all purchases concluded on the Platform (both domestic and cross-border intra-Community orders across all 27 EU member states), the commercial contract of sale is entered into directly between you (the Consumer) and the independent partner brand (the Vendor). The Vendor is the statutory Trader of Record responsible for the supply, conformity, quality, and direct dispatch of the goods.
    • Salp Operating B.V.'s Intermediary Role: Salp Operating B.V. acts solely as an authorized commercial agent on behalf of the Vendor to host product listings, facilitate platform checkout, intermediate customer service, and collect consumer payments on the Vendor's behalf. Salp Operating B.V. never acquires title to, owns, or resells consumer goods.
    • Trader Transparency (DSA Art. 30): The specific Vendor's commercial identity, legal entity name, registered office address, trade register number, and VAT identification number are clearly displayed on every product listing page, in your checkout summary, on your order confirmation, and on your electronic customer receipt.

    3. Product Information & Pricing Transparency Across 27 Countries and 7 Currencies

Product information, technical specifications, and imagery are provided directly by verified Vendors. All prices on Salp.shop are displayed in your local European currency (supporting all 7 European currencies: EUR, CZK, DKK, HUF, PLN, RON, SEK) and are completely all-inclusive of statutory destination VAT applicable in your delivery country across all 27 European countries.

    • No Surprise Import Fees: Because all products dispatch directly from verified warehouses and workshops located within the European Union Single Market, orders are never subject to customs duties, import brokerage fees, or unexpected carrier clearance charges upon delivery.
    • Price Reductions: Any displayed promotional price comparison references the lowest commercial price offered on the Platform in the prior 30 days, in compliance with the EU Omnibus Directive.

    4. Ordering & Payment Authorization

When you place an order on Salp.shop:

    1. Your payment is processed securely via Stripe Connect, with Salp Operating B.V. acting as the Vendor's disclosed commercial payment collection agent.
    2. Payment of the purchase price to Salp Operating B.V. completely discharges your payment obligation to the respective Vendor for the goods purchased.
    3. The contract of sale is formally concluded upon transmission of your electronic order confirmation email, containing your itemized customer receipt issued in the name and on behalf of the Vendor.

    5. Direct Workshop Dispatch & Delivery Across All 27 European Countries

All items dispatch directly from the independent Vendor's own studio or regional warehouse. If you purchase items from multiple distinct Vendors in a single checkout, each Vendor dispatches their products in separate parcels using verified European carriers (DHL, DPD, Chronopost, PostNL, UPS). You receive individual tracking numbers for each parcel as it departs the workshop.

    6. Statutory 14-Day Right of Withdrawal

In accordance with the EU Consumer Rights Directive (Directive 2011/83/EU), you have the statutory right to withdraw from your purchase within 14 calendar days from the date of physical delivery, without giving any reason.

    • Initiating Withdrawal: You may initiate a return via our online Order Lookup Portal or by contacting support@salp.shop.
    • Reimbursement: All payments received, including standard outbound delivery charges, will be reimbursed to your original payment method within 14 calendar days of receiving proof of return dispatch or the returned goods.
    • Exceptions: Personalized/custom-made items, perishable goods, or unsealed hygiene items are excluded from withdrawal pursuant to EU law.

    7. Two-Year Legal Guarantee of Conformity

All products purchased on Salp.shop benefit from a mandatory two-year legal guarantee of conformity under European Union law (Directive (EU) 2019/771). The Vendor, as the contracting Seller of Record, is strictly liable for defects that manifest within two years of delivery. Remedies include repair, replacement, price reduction, or a full refund. Salp's European customer care team coordinates warranty claims directly with the Vendor on your behalf.

    8. Platform & Vendor Liability

    • Vendor Liability: The independent Vendor bears sole legal responsibility for product quality, compliance with the General Product Safety Regulation (GPSR), legal conformity guarantees, and fulfillment execution.
    • Platform Intermediary Liability: Salp Operating B.V. is liable solely for its platform intermediation services, digital account security, and payment processing intermediation in accordance with the EU Digital Services Act. Salp Operating B.V. is not a party to the underlying sales contract for physical goods.

    9. Dispute Resolution & Governing Law

Pursuant to Regulation (EU) 2024/3228, the European Commission's Online Dispute Resolution (ODR) platform was permanently discontinued on 20 July 2025. In the event of a dispute that cannot be resolved amicably with the Vendor or via Salp customer care, consumers may submit complaints to approved national Alternative Dispute Resolution (ADR) entities (such as De Geschillencommissie in the Netherlands, or your national equivalent). These terms are governed by the laws of the Netherlands, without depriving consumers of mandatory statutory protections under their country of habitual residence.
